Syscon One Terms of Service

Effective date: August 12, 2026

These Terms of Service ("Terms") are an agreement between Syscon Information Systems, Inc. ("Syscon," "we," "us") and you. They cover both:

A few more defined terms used throughout:

1. Acceptance — who these Terms cover, and how

Site visitors. If you are just browsing the Site, the sections of these Terms that apply to the Site apply to you: this Section 1, the Site-related restrictions in Section 5, and Sections 13 (Syscon's Intellectual Property), 14 (Third-Party Services), 17 (Warranty Disclaimer), 18 (Limitation of Liability), 22 (Governing Law) and 23 (Miscellaneous).

Users and Customers. If you sign in to or use the Services, all of these Terms apply to you. By signing in or using the Services, you agree to these Terms on your own behalf. If you are your Customer's Owner or hold purchase permission (see Sections 4 and 10), you also represent that you are authorized to bind your Customer, and your acceptance and purchase confirmations bind it. Other Users accept these Terms for themselves; their Customer is bound through its Owner's acceptance, its purchase confirmations, or a signed agreement. If you (or your Customer) do not agree to these Terms, do not use the Services.

These Terms reference our Privacy Policy, which describes how we handle personal information. The Privacy Policy is not part of this contract, but you should read it.

2. Order of precedence — signed agreements come first

If your Customer has entered into a separate written agreement with Syscon covering the Services — for example, a pilot agreement, design-partner agreement, or services agreement together with an order form — that signed agreement governs your Customer's use of the Services and controls over these Terms wherever the two conflict. These Terms continue to apply to matters the signed agreement does not address, including each individual User's conduct on the Platform.

If there is no signed agreement, these Terms are the agreement between the Customer and Syscon.

3. Eligibility and business use only

The Services are built for businesses — construction firms and similar organizations — and are offered for business use only, not for personal, family, or household use. To use the Services you must be at least 18 years old and able to form a binding contract. You may only access the Services through a Microsoft 365 account provided by a Customer.

4. Accounts and Microsoft sign-in

Sign-in is Microsoft only. Access to the Services is through Microsoft Entra single sign-on using the Microsoft 365 account your Customer provides. Syscon never stores your user account password — your sign-in credentials live with Microsoft and your Customer's Microsoft 365 tenant.

The Customer controls its Users. The Customer is responsible for managing which of its people can access the Services, for the security of its own Microsoft 365 tenant, and for everything its Users do in the Services. Each Customer has an Owner — typically designated when the Customer is onboarded — who can assign roles and permissions for other Users, including who is allowed to make purchases (see Section 10). To remove a User's access, the Customer disables that person's access in its own Microsoft 365 tenant or through the Platform's administration tools.

Usage is visible to your employer. If you are a User, your Customer's Owner and administrators can see information about your use of the Services — which apps you use, how often, and metered usage such as AI consumption. Syscon can see this information too. The Privacy Policy has details.

5. Access to the Services; restrictions

Subject to these Terms (and payment of applicable fees), Syscon grants the Customer a non-exclusive, non-transferable right for its Users to access and use the Services and the apps the Customer has installed, during the applicable subscription period, for the Customer's own internal business purposes.

You agree not to (and not to allow anyone else to):

We may suspend access as described in Section 20 if these restrictions are violated.

6. Customer Data

Ownership. As between the Customer and Syscon, the Customer owns Customer Data. As between the parties, Syscon owns Usage Data, which we handle as described in the Privacy Policy.

License to Syscon. The Customer grants Syscon a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, and display Customer Data, and to use Customer Data and Usage Data to:

(a) provide, maintain, secure, support, and bill for the Services;
(b) prevent fraud, abuse, and security incidents, and comply with law; and
(c) analyze, improve, and develop Syscon's products and services, including developing, training, tuning, testing, and evaluating machine-learning and artificial-intelligence models and features.

This license continues for as long as needed for these purposes.

Retention after cancellation. When an app subscription is canceled, the data associated with that app is retained for 30 days — during which the subscription can be restored with data intact — and may be deleted after that. Copies may remain in routine backups. Handling of Customer Data at the end of the overall relationship is described in Section 20 and the Privacy Policy.

7. Connected systems

Many Syscon One apps work by connecting to systems the Customer already uses. When the Customer installs or configures an app that connects to one of its systems — for example, its Sage 100 Contractor database or its Microsoft 365 tenant, among others — the Customer authorizes Syscon and that app to access, read, and (where the app is designed to) write data in that system, per the permissions disclosed in the app's marketplace listing.

The Customer is responsible for its connected systems and represents that it has the right to give Syscon this access — including with respect to data about its employees and other individuals contained in those systems (for example, employee records in a Sage 100 Contractor database). The Customer is responsible for complying with the laws that apply to that data and for its agreements with the vendors of its connected systems. Credentials the Customer provides for connected systems are stored securely and used only to provide the Services.

8. AI features

Some Services include features powered by third-party artificial-intelligence models. When you use an AI feature:

9. Idea Lab, submissions, and feedback

The Idea Lab is where Users propose, vote on, and discuss app ideas. Please read this section before posting — the Idea Lab is intentionally a shared space:

10. Purchases, trials, and billing

No cards, no processor. Syscon One has no payment processor and does not collect payment-card data. App charges — setup fees, subscriptions, and metered usage — are billed as line items on the Customer's regular Syscon invoice through Syscon's standard accounts-receivable process, under the payment terms the Customer already has with Syscon. Taxes, where applicable, are handled through that same invoicing process.

What things cost. The Services include a platform subscription per Customer, plus per-app charges as shown in each app's marketplace listing — which may include a one-time setup fee, a recurring subscription, and usage-based fees (for example, metered AI usage). The price shown in an app's listing at the time of purchase (or in the Customer's signed agreement or negotiated pricing, where one exists) is the price that applies at purchase.

Price changes. We may change platform or per-app pricing. We will notify the Customer's administrators of a price change, and the new price takes effect as stated in the notice. A Customer that does not wish to continue at a new price may cancel the affected subscription as described below.

Who can buy. Every User can browse the marketplace, but only Users the Customer has given purchase permission can buy. When a User with purchase permission confirms a purchase, that purchase binds the Customer to the listed setup fee and recurring charges, and the app is provisioned for the Customer. Users without purchase permission can send a request to their administrator instead. The Customer is responsible for choosing who holds purchase permission.

Trials. Some apps offer a free trial; details appear in the app's listing. Unless the Customer cancels before the trial ends, the subscription begins — and billing starts — when the trial expires.

Late payment. Late or unpaid amounts are handled through Syscon's normal accounts-receivable process. We may suspend access to the Services for delinquent accounts as described in Section 20.

Cancellation and refunds. A Customer administrator can cancel an app subscription at any time; cancellation takes effect at the end of the current billing period, and the recurring charge comes off the next invoice. There are no refunds or prorated credits for partial billing periods. Refunds or credits, where Syscon issues them, are processed through Syscon's standard billing as credits on the Customer's invoice.

11. Support

Syscon provides support for the Services through its standard support channels. Assistance beyond routine platform support — for example, training, report or data work, custom development, or troubleshooting issues in the Customer's own systems — may be offered as billable services at Syscon's then-current time-and-materials rates, invoiced through Syscon's normal process. Support commitments in a Customer's signed agreement control over this section.

12. Confidentiality

Each party may learn non-public information about the other through the Services — Customer Data and the Customer's business information on one side; non-public information about the Services, pricing, and roadmap on the other. Each party will use the other's non-public information only in connection with the Services and will protect it with at least reasonable care, and will not disclose it to third parties except to employees and contractors who need it and are bound to protect it, or as required by law. If the Customer has a signed agreement or NDA with Syscon, its confidentiality terms control over this section.

13. Syscon's intellectual property

Syscon and its licensors own the Services, the Site, and everything in them other than Customer Data — including software, apps, designs, documentation, logos, and trademarks, as well as Idea Lab submissions and feedback (which become Syscon's property under Section 9). These Terms give you no rights in any of that except the access rights in Section 5. Syscon is free to use general know-how, techniques, and learnings from operating the Services, and improvements to the Services belong to Syscon.

Site content is provided for your information. You may view and print it for your own business evaluation of Syscon One; you may not republish or exploit it commercially without our permission.

14. Third-party services and compatibility

The Services interoperate with third-party services — the Customer's own systems (such as Sage 100 Contractor and Microsoft 365), hosting infrastructure, AI model providers, and services linked from the Site or the Services. Third-party services are governed by their own terms, and Syscon is not responsible for them, for their availability, or for how they handle data once it is in their systems (the categories of service providers we use are described in the Privacy Policy). A Customer's relationship with the vendor of its own connected systems — including its Sage 100 Contractor license — is entirely between the Customer and that vendor.

Third-party products change on their vendors' schedules, not ours. Syscon does not warrant that the Services will remain compatible with any particular version of third-party software, and integrations may require updates — or may stop working — when a third-party vendor changes its product.

15. Privacy

Our Privacy Policy describes what information we collect through the Site and the Services, how we use it, who can see it (including the visibility of Users' activity to their employer's administrators), and the choices available. By using the Site or the Services you acknowledge the Privacy Policy. Where Syscon processes personal information in Customer Data on the Customer's behalf, a signed agreement between the Customer and Syscon governs that processing where one exists.

16. Pilot, beta, and preview features

We may offer features (or entire apps) identified as pilot, beta, preview, or early access — including to design-partner Customers. These are provided as-is for evaluation, may change or be withdrawn at any time, may have reduced or no support, and are excluded from any availability or support commitments that may exist in a Customer's signed agreement. Use them with appropriate caution.

17. Warranty disclaimer

The Site and the Services are provided "as is" and "as available." To the fullest extent permitted by law, Syscon disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Services will be uninterrupted, error-free, or secure, or that AI output will be accurate or reliable. The Customer is responsible for maintaining its own backups of source data in its connected systems, and for reviewing outputs — including anything written back to its Sage 100 Contractor database — before relying on them. Some jurisdictions do not allow certain warranty disclaimers, so parts of this section may not apply to you.

18. Limitation of liability

To the fullest extent permitted by law:

19. Indemnification

By Syscon. Syscon will defend the Customer against any third-party claim that the Services (excluding Customer Data, connected systems, and third-party services) infringe that party's intellectual-property rights, and will pay resulting damages finally awarded or agreed in settlement — provided the Customer promptly notifies us, lets us control the defense, and reasonably cooperates. This obligation does not cover claims arising from combining the Services with products not provided by Syscon, from modifications not made by Syscon, or from continued use of a superseded version after we notify the Customer that updating would avoid the claim. If the Services are held to infringe, Syscon may modify them, procure the right to keep providing them, or terminate the affected Service with a refund of prepaid fees covering the period after termination. This is the Customer's exclusive remedy for infringement claims.

By the Customer. The Customer will defend Syscon against any third-party claim arising from Customer Data, from the Customer's connected systems or its lack of rights to grant the access described in Section 7, or from a Customer's or its Users' use of the Services in violation of these Terms or applicable law, and will pay resulting damages finally awarded or agreed in settlement — with the same notice, control, and cooperation conditions.

20. Term, suspension, and termination

Term. These Terms apply from the first time you accept them or use the Services, and continue while the Customer has any active subscription or any User continues to use the Services.

Suspension. Syscon may suspend a Customer's or User's access to some or all of the Services, with notice where practicable, if: there is a security risk or suspected compromise; the Customer's account is delinquent under Syscon's accounts-receivable process; or a Customer or User materially breaches these Terms and, where the breach is curable, fails to cure it promptly after notice. We will restore access when the issue is resolved.

Termination. The Customer can stop using the Services and cancel its subscriptions at any time as described in Section 10. Syscon may terminate these Terms with respect to a Customer for material breach that remains uncured 30 days after notice, or if required by law. Either party may terminate if there is no active subscription.

Effect of termination. Upon termination or cancellation, access rights end, and Customer Data is handled as described in Section 6, the Privacy Policy, and any signed agreement between the Customer and Syscon. Sections that by their nature should survive do survive — including Sections 6 (license), 9 (ownership of submissions and feedback), 12, 13, 17, 18, 19, 22, and 23.

21. Changes to the Services and to these Terms

Changes to the Services. Syscon One is an evolving platform. We may add, change, or retire features and apps. If we discontinue a paid app entirely, we will give the affected Customers reasonable advance notice.

Changes to these Terms. We may update these Terms from time to time. Each version has an effective date, and the current version is always posted on the Site. We will let Customer administrators know about material changes, and continued use of the Services after a change's effective date means the updated Terms apply. Changes to pricing are not made through updates to these Terms — they are communicated directly as described in Section 10.

22. Governing law and venue

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules. The state and federal courts located in Maricopa County, Arizona have exclusive jurisdiction over disputes arising out of these Terms or the Services, and each party consents to venue there. The UN Convention on Contracts for the International Sale of Goods does not apply.
